OFFICIAL RULES AND LEGAL DISCLAIMER

Introduction
By entering into the Tex’s Chicken & Burgers $5,000 Giveaway Sweepstakes (the
“Sweepstakes”), participant (“Participant”) agrees to abide by these Official Sweepstakes
Rules and Legal Disclaimer (these “Rules”) and the decisions of RBVHSUNPK LLC d/b/a
Tex’s Chicken & Burgers (“Promoter”), such decisions which are final and binding in all
respects. If you do not agree to the Rules in their entirety, you are not permitted to participate in
the Sweepstakes.

No purchase necessary to enter or win. Purchase of Promoter’s products or services does
not enhance chances of winning.

Eligibility
The Sweepstakes is open solely to legal residents of the United States and the District of
Columbia who are 18 years of age or older at the time of entry. Employees, officers, directors, or
agents of Promoter or any of Promoter’s partners, related companies, agencies, or agents, as well
as the immediate family (defined as spouse, parents, siblings, children, and grandparents) and
any household members of any such employee, officer, director, or agent, are not eligible to
participate in the Sweepstakes. All applicable federal, state, and local laws and regulations apply.
Void where prohibited or restricted by law.

How to Enter
Beginning on May 19th at 3 PM EST through July 1st
, 2025 at 11:59 PM EST (the
“Sweepstakes Period”), access Promoter’s official giveaway post on Promoter’s Instagram
(https://www.instagram.com/reel/DJ2JozJusix/?igsh=MW5tcDdqbTQzNW84Yg==) and follow the steps described in the Post to
submit a Sweepstakes entry (an “Entry”):

(1) Follow Promoter on Instagram (@eat.texs);
(2) Like and Share the Post to your Instagram Story; and
(3) Comment #WorthEveryBite and tag at least one (1) friend in the comments under the
Post. Each unique tag equals one (1) Entry.

Bonus Entries
• Participants may receive twenty (20) additional Entries by leaving a Google review of
one of Promoter’s restaurant locations. Participants must send proof (via screenshot)
through Instagram DM (direct message) to Promoter’s official Instagram account
(@eat.texs) for such bonus Entries to be considered. Screenshots submitted to Promoter
must be the original, sole property of the Participant.
• Participants may receive fifty (50) additional Entries by recording and posting to Participant’s Instagram page a 20-40 second reaction video eating Promoter’s food (Tex's). Eligibility for the fifty (50) additional Entries requires tagging @eat.texs and using the hashtag #WorthEveryBite on the Instagram post. Participants
must have a public Instagram account or send proof (via screen recording) to Promoter
through Instagram DM (direct message) to Promoter’s official Instagram account
(@eat.texs) for such bonus Entries to be considered. Videos submitted to Promoter must
be the original, sole property of the Participant.

Entrance by Mail
To enter by mail, send your name, address, telephone number and email address to Tex’s
Chicken & Burgers, Attention: Sweepstakes, 170 Old Country Road, Suite 303, Mineola, NY
11501. Mailed Entries must be received by the end of the Sweepstakes Period to be eligible.

Sweepstakes Participation Rules
All Participant Entries must be received during the Sweepstakes Period. Promoter will not
consider incorrect, fraudulent, incomplete, late, or otherwise non-conforming Entries or Entries
that are intended to annoy, abuse, threaten, or harass any person or entity in any way. Entries
(including comments and likes under the Post) generated by macro, script, robotic, bots or other
automated means are void. Any entrant using fraudulent means to participate in the Sweepstakes
will be disqualified and may be guilty of violating applicable criminal laws. Eligibility is at the
exclusive discretion of Promoter, and Promoter shall be entitled to reject any entrant for any
reason or no reason at all without having to provide an explanation. Promoter reserves the right,
in its sole discretion, to cancel, suspend, or terminate the Sweepstakes for any reason and without
prior notice to any Participant. In such instance, Promoter may, if and as appropriate, select a
winner using reasonable means that are materially consistent with the Sweepstakes. In no case
shall Promoter be liable in any manner should a Participant’s Entry or Entries not be received by
Promoter. The terms and conditions of Instagram apply, as applicable.

Random Drawing; Prizes; Notifying Prize Winners
A random drawing will begin on or about July 1, 2025, after the Entry Period has closed, and will be concluded by July 10, 2025 (the “Drawing Period”) by Promoter to select seven (7) winners (each, a “Random Winner” and together, the “Random Winners”) from all eligible Entries received. Three (3) additional winners will be selected from the comment section under the Post (each, a “Comment Winner” and together, the “Comment Winners” – together with the Random Winners, the “Winners”). The Participants with the top three (3) most-liked comments using #WorthEveryBite shall be deemed Comment Winners. Each of the ten (10) total Winners shall be eligible to receive Five Hundred Dollars ($500) cash (the “Prize”), payable via Zelle, PayPal or mailed check. All details relating to the Prize are at Sponsor’s sole discretion.

All Winners must comply with all terms and conditions in these Rules, and winning a Prize is
contingent on fulfilling all requirements set forth in these Rules. Further details about the
drawing can be found online at the following link: https://eattexs.com/giveaway. Except for
the Comment Winners, who will be selected as set forth above, the odds of winning as a Random
Winner depend on the number of Entries received.

The potential Winners will be notified by Instagram DM no later than ten (10) days after the
Drawing Date. Potential Winners may be required to sign and return an Affidavit of Eligibility
and Liability/Publicity Release within ten (10) days’ following the effective date of Promoter’s
prize notification (the “Notification”) prior to receiving their Prize. Failure to (i) respond within
the applicable time period, (ii) sign and return the Affidavit of Eligibility and Liability/Publicity
Release or (iii) comply with these Rules may result in forfeiture of the Prize, and Promoter shall
have the option to award the Prize to an alternate Winner. The inability of Promoter to contact a
Winner through Instagram DM (e.g., a Winner’s account settings do not permit DMs from
Promoter’s Instagram account) may also result in disqualification and an alternate Winner may
be selected. Promoter is not responsible for any other failure beyond its reasonable control. In the
event of a dispute with respect to Entries received from more than one user having the same
Instagram account, the authorized subscriber of the account in question at the time of Entry will
be deemed the proper Participant and Winner. A potential Winner will also forfeit the Prize if the
winner is disqualified as not eligible to have participated in the Sweepstakes in the first instance.

The Winner must have a government-issued photo identification to claim the Prize. All federal,
state, and local income taxes resulting from acceptance of the Prize are the sole responsibility of
each Winner. Promoter reserves the right to substitute an alternate Prize of comparable or equal
value in its sole discretion. No assignment or transfer of a Prize is permitted, except by Sponsor.

Acceptance of the Prize also constitutes permission to Promoter to use the Winner's name,
likeness, Entry video/Instagram post or comment and biographical information for marketing
purposes (including posting the information on its website) without further compensation or right
of approval, unless prohibited by law.

Provision of Materials and Information/Intellectual Property
By entering into the Sweepstakes, Participant represents and warrants as follows:

(1) Participant fully owns or has properly licensed whatever materials or information it
submits hereunder in connection with the Sweepstakes and can make such submissions
without violating any applicable law, agreement with any third-party, and/or third-party
right of any kind (including without limitation any intellectual property, data protection,
privacy, or publicity right); and
(2) Any and all materials or information provided by Participant hereunder or otherwise in
connection with the Sweepstakes or an Entry shall be true and correct in all respects.
Furthermore, without limitation on anything set forth herein to the contrary, Promoter
shall have the irrevocable, transferable, and fully sublicensable right and license (but not
the obligation) to exploit any and all such materials or information in any manner it so
elects to promote the Sweepstakes, its business, brand, products, and/or services,
throughout the world in perpetuity, and in any and all media, now or hereafter known.

Publicity
Subject to applicable law, participation in the Sweepstakes constitutes Participant’s consent to
Promoter and Promoter’s affiliates and agents to use the Participant’s name, voice, likeness,
reaction video(s) posted to Instagram, comment(s) under the Post, opinions, and biographical
information for marketing, advertising, and publicity purposes in any media throughout the
world at any time without the obligation to seek consent or to provide Participant with any
payment or other form of consideration. Participant agrees to execute any document reasonably
required by Promoter to effectuate the terms hereof and failure to do so shall give rise to
Promoter’s right to execute any and all such documents as Participant’s attorney-in-fact, which
right shall be coupled with an interest and therefore, irrevocable.

Use of Entry Materials and Information
Promoter will be collecting, storing, and exploiting personal data about Participants to administer
the Sweepstakes and exercise its rights hereunder, including without limitation, those relating to
marketing and publicity. By entering into the Sweepstakes, Participants agree to Promoter’s
collection and use of their personal information. Promoter will not disclose any Participant’s
personal information to any non-affiliated third party for any purpose. For more information on

Release
Subject to applicable law, by entering into a Sweepstakes and potentially receiving a Prize, each
Participant agrees to release, discharge, and hold harmless Promoter, along with Promoter’s
employees, officers, directors, affiliates, partners, agents and assigns, from and against any
claim, cause of action, demand, or proceeding (each, a “Claim”), and any resultant loss, injury
(including death), cost, expense, fee, fine, penalty, or other loss or expense of any kind, including
attorneys’ fees (each, a “Loss”), relating to or arising, directly or indirectly, out of the
participation in a Sweepstakes (or related activity such as a press release), and/or Promoter’s
right to exploit Participant’s name and/or likeness or fully exploit any other right granted to it
hereunder, and/or from Participant’s receipt, use, or misuse of any Prize, no matter how such
Claim or Loss arises (including without limitation, if arising out of any damage to a Participant’s
computer system from downloading or using material from Promoter’s, or an affiliate of
Promoter’s, website).

Limitation of Liability
IN NO EVENT WILL PROMOTER, AND/OR PROMOTER’S PARENT, SUBSIDIARY,
LICENSEES, EMPLOYEES, AGENTS, OFFICERS, DIRECTORS, ASSIGNS, AFFILIATES,
OR RELATED COMPANIES (COLLECTIVELY WITH PROMOTER, THE “PROMOTER
PARTIES”) BE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL,
CONSEQUENTAL, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION
LOST PROFITS) ARISING OUT OF ANY PARTICIPANT’S PARTICIPATION IN THE
SWEEPSTAKES, THESE OFFICIAL RULES, AND/OR ANY PARTICIPANT’S RECEIPT,
USE, OR MISUSE OF A PRIZE, NO MATTER UNDER WHAT THEORY ARISING, EVEN
IF ANY PROMOTER PARTY HAS BEEN ADVISED OF THE POSSIBLY OF SUCH
DAMAGES. PROMOTER PARTIES’ ENTIRE LIABILITY WITH RESPECT TO: (i) ANY
PARTICIPANT’S PARTICIPATION IN THE SWEEPSTAKES, (ii) THESE OFFICIAL
RULES, AND/OR (iii) ANY PARTICIPANT’S RECEIPT OF A PRIZE SHALL BE LIMITED
TO FIVE HUNDRED DOLLARS ($500). SOME JURISDICTIONS MAY NOT ALLOW THE
AFOREMENTIONED LIMITATIONS OR EXCLUSIONS OF LIABILITY AND AS SUCH,
THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK
YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING
THESE LIMITATIONS OR EXCLUSIONS.

Dispute Resolution
Participants acknowledge and agree that by entering the Sweepstakes:

(1) all disputes, causes of action, and claims connected to or arising in any way hereunder
between the parties shall be resolved solely on an individual basis (i.e., class actions
suits are hereby waived by the parties), and exclusively by the state or federal courts
situated in Kings County, New York;
(2) the laws of the state of New York shall govern, without regard to its conflict of laws
principles; and
(3) the parties hereto waive any right to a trial by jury.

For a list of all Winners, send a self-addressed, stamped envelope to: Tex’s Chicken & Burgers,
Attention: Sweepstakes, 170 Old Country Road, Suite 303, Mineola, NY 11501 or contact
Promoter through Instagram DM on or after the Drawing Date (July 10, 2025) with your request.
Requests for a list of all Winners must be made by January 10, 2026.
